These Terms and Conditions constitute a legally binding agreement governing the commercial engagement, quotation acceptance, procurement, machinery supply, export documentation, and technical service delivery between Paragweld and international business buyers, distributors, EPC contractors, and industrial clients.
Important Notice for Overseas Buyers: By issuing a Purchase Order (PO), confirming a Proforma Invoice (PI), or initiating commercial transactions with Paragweld, your organization explicitly agrees to adhere to the operational, technical, warranty, and export guidelines outlined herein.
1. Commercial Scope & B2B Order Procurement
Paragweld specializes in the manufacturing, engineering, and export of industrial welding equipment, including Submerged ARC Auto Welders, MIG Welder Series, Inverter TIG Welders, Heavy-Duty ARC Welders, LGK Air Plasma Cutters, and specialized consumables.
1.1 Quotation & Proforma Invoices
All written quotations and Proforma Invoices (PI) issued by Paragweld remain valid for thirty (30) calendar days from the date of issue unless specified otherwise. Prices are quoted based on selected International Commercial Terms (Incoterms 2020), such as EXW, FOB (Mundra/Kandla Port), CFR, or CIF, depending on agreed procurement terms.
1.2 Order Confirmation & Modifications
An order is considered finalized only upon receipt of an official Purchase Order and the agreed advance deposit or confirmed Letter of Credit (L/C). Any technical modification requested after order confirmation may adjust delivery schedules and total contract value.
2. Technical Specifications & Quality Assurance
In accordance with our ISO-certified quality management framework, Paragweld guarantees that all manufacturing processes adhere strictly to declared technical datasheets and international electrotechnical standards.
- Factory Acceptance Testing (FAT): Every machine undergoes stringent electrical, thermal, and load testing prior to packaging and dispatch.
- Technical Documentation: Comprehensive operational manuals, electrical circuit diagrams, and spare parts lists are dispatched alongside equipment shipments.
- Permissible Variances: Standard industry tolerances regarding minor cosmetic finish changes that do not impair functional welding performance or duty cycle parameters are reserved by the manufacturer.
3. Payment Terms, Export Logistics & Shipping Compliance
To facilitate seamless international transactions, Paragweld enforces structured financial and logistical frameworks designed to safeguard both buyer and supplier interests.
3.1 Payment Mechanisms
International payments must be executed in agreed foreign currencies (USD, EUR, or INR equivalent) via Wire Transfer (T/T) or Irrevocable, Confirmed Letter of Credit (L/C at sight) issued by a reputable international banking institution.
3.2 Delivery Schedules & Force Majeure
Stated dispatch timelines are calculated from the receipt of financial clearance and engineering sign-off. Paragweld shall not be held responsible for transit delays caused by port congestion, customs clearance holds, maritime carrier disruptions, natural disasters, trade embargoes, or other Force Majeure events beyond our operational control.
4. International Warranty Terms & Technical Support
Paragweld provides robust limited warranty coverage on all main industrial welding power sources to ensure operational reliability and high factory uptime for our international partners.
4.1 Warranty Duration & Coverage
Unless explicitly extended via commercial agreement, power sources carry a twelve (12) month limited warranty from the date of bill of lading (B/L) or installation. This warranty covers manufacturing defects in main transformers, inverter modules, IGBT units, and main control circuit boards.
4.2 Warranty Exclusions
The standard warranty coverage excludes the following parameters:
- Consumable wear parts including welding torches, nozzles, contact tips, gas diffusers, plasma electrodes, and ground clamps.
- Equipment failures resulting from inappropriate electrical input voltage supply, phase imbalance, exposure to conductive dust environment without filtration, immersion, physical dropping, or unauthorized field modifications.
- Operational damage caused by non-compliance with prescribed duty cycle parameters outlined in product user manuals.
5. Intellectual Property Rights & Technical Assets
All engineering design architecture, registered trademarks, proprietary schematics, software algorithms embedded in digital welding controllers, product branding, media galleries, and technical publications remain the sole intellectual property of Parag Electrodes Agencies Pvt. Ltd. Unauthorized commercial duplication, reverse engineering, or re-branding without written authorization is strictly prohibited.
6. Limitation of Liability & Industrial Usage Compliance
Paragweld products are designed exclusively for industrial, metal fabrication, forging, casting, structural steel, and infrastructure maintenance applications by qualified professional personnel.
Under no circumstances shall Parag Electrodes Agencies Pvt. Ltd. be liable for indirect, incidental, punitive, or consequential damages—including but not limited to loss of factory production, downtime costs, commercial contract penalties, or third-party labor charges—arising from equipment operation or service interruption.
7. Legal Jurisdiction & Dispute Resolution
These commercial terms, transaction agreements, and international supply contracts shall be interpreted and governed in accordance with the laws of the State of Gujarat, India. Any legal proceedings or dispute arbitrations arising from commercial agreements with Paragweld shall fall exclusively under the judicial jurisdiction of competent courts located in Ahmedabad, Gujarat, India.
